MÖHRLE HAPP LUTHER has successfully advised Leo International Precision Health AG (LIPH) on a capital increase against contributions in kind. As part of the transaction, six international precision health companies were contributed to the listed holding company. The transaction was entered in the commercial register in December 2025.

LIPH is a holding company that is building Europe's first integrated AI-powered health ecosystem. With a strategic focus on AI-driven precision health companies in the fields of medical technology, health technology, biotechnology and healthcare, LIPH offers investors access to the expanding Asian and global health and life sciences market. Through optimisation and synergies between its investments, LIPH integrates technology, data and operations to accelerate medical outcomes and portfolio performance.

The contribution in kind consisted of an international portfolio with a total valuation of approximately EUR 108 million. The capital increase was carried out by out utilizing authorized capital through the issuance of 50,000 new shares, corresponding to a 10% increase in share capital. The contributed shareholdings originate from Taiwan, Singapore, the United States, Australia and Hong Kong and form the basis for the continued expansion of LIPH’s integrated, AI-enabled healthcare ecosystem.

Within the scope of the transaction, MÖHRLE HAPP LUTHER acted as auditor for the contribution in kind.
